Terms of Service

Last Updated: July 23, 2026
Effective Date: July 23, 2026

Welcome to Pacific Yew Automations. These Terms of Service ("Terms") constitute a legally binding agreement between your business entity ("Client", "you", "your") and Pacific Yew Automations ("Company", "we", "us", "our"), a registered business in British Columbia. By executing a Statement of Work (SOW), activating managed care, or using our integration services, you agree to be bound by these Terms. If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

1. Services and Scope of Work

Pacific Yew Automations provides custom software integration and workflow automation services. The specific deliverables, systems, approval boundaries, acceptance criteria, and schedule are defined in a mutually signed Statement of Work (SOW).

Any new workflow, additional integration, or material adjustment to the accepted workflow requires a written change order or new SOW unless it falls within the defined managed-care allowance.

2. Fixed Implementation, AI BDR Retainers, and Managed Care

The website presents workflow implementation options in United States dollars (USD) — One Handoff Fix, Intake & Routing System, Connected Operations, and the optional AI Team Enablement add-on — as well as Pacific Yew Autonomous AI BDR System managed outbound tiers (Starter BDR, Growth BDR, Scale Enterprise BDR, and the Agency White-Label AI BDR Partner License). Workflow implementations have an implementation starting price or custom scope, while the Pacific Yew Autonomous AI BDR System carries a one-time infrastructure setup fee plus a monthly retainer. Published ongoing-care and retainer amounts are starting points where shown. The signed SOW controls if it differs from the website.

Managed care and Pacific Yew Autonomous AI BDR System retainers vary by package and may include monitoring where supported, error review, minor vendor/API maintenance, domain/mailbox warmup governance, operating summaries, and a defined adjustment allowance. The SOW states whether managed care is optional or required, the supported workflows and systems, the response target, the reporting cadence, and the included adjustment time. New systems, workflows, or material rule changes require separate written scope.

Payment schedule, service start date, suspension rights, taxes, third-party costs, and any renewal or cancellation terms are stated in the signed SOW or invoice.

3. Service Level Agreement (SLA) Parameters

We strive to maintain high-quality operations and prompt support. The following SLA targets apply to clients with active managed care:

No general uptime guarantee or after-hours response commitment is created by this website. Any availability target, severity definition, response time, maintenance window, or service credit must be stated in the signed SOW.

The standard monthly service uses a two-business-day response target for normal-priority requests. Third-party outages and vendor response times remain outside Pacific Yew’s control.

4. Canadian Tax Billing (GST / PST)

All public website prices are quoted in United States Dollars (USD), not Canadian Dollars (CAD). A signed SOW may specify another currency.

Applicable taxes, if any, are shown on the invoice based on the transaction and information available at the time. Clients are responsible for their own tax advice and obligations.

5. Client Responsibilities and Software Licenses

The Client is solely responsible for maintaining active, paid subscriptions and licenses for all third-party software named in the SOW. We are not liable for service interruptions caused by a client's failure to pay third-party subscription fees or API usage charges.

The Client must provide secure, authorized credentials and API tokens required for our development team to build and configure the workflows. The Client agrees to notify us in writing at least five (5) business days prior to modifying any passwords, database schemas, or account configurations that could disrupt the established integration mappings.

6. Privacy, Canadian Data Residency, and AI Safety

Both parties agree to comply with the BC Personal Information Protection Act (BC PIPA) and federal Canadian privacy laws (PIPEDA) as outlined in our Privacy Policy.

Hosting location, subprocessors, data retention, and residency requirements are scoped for each workflow and documented in the applicable Statement of Work. Third-party products remain subject to their own availability and regional service terms.

We do not sell client data or intentionally submit it to public model-training workflows. Any AI provider, data-use setting, and provider-specific contractual control is identified during solution design.

7. Anti-Spam (CASL) and Telecommunications Compliance

The Client warrants that all customer phone numbers, email addresses, and contact records provided to us or routed through our automations (such as lead-recovery SMS or quote follow-up emails) have been collected in full compliance with Canada's Anti-Spam Legislation (CASL) and provincial consumer protection regulations.

The Client represents that they have obtained appropriate express or implied consent from their end-users to send automated messages. The Client must immediately notify us of any opt-out or unsubscribe request that requires system-wide propagation.

8. Term, Termination, and Data Purging

This agreement begins upon SOW execution or managed-care activation and continues month-to-month unless the SOW states otherwise. Either party may terminate the relationship or cancel managed care by providing thirty (30) days' written notice to contact@pacificyew.pro.

Upon termination, all outstanding payments must be settled. Pacific Yew Automations will decommission client-specific routing webhooks, revoke access under our control, and delete or return client credentials and configuration data according to the SOW, applicable legal-retention duties, provider capabilities, and documented backup cycles.

9. Limitation of Liability and Indemnification

Pacific Yew Automations provides integrations on an "as-is" and "as-available" basis. Except as expressly provided herein, we disclaim all warranties of any kind. Under no circumstances shall Pacific Yew Automations be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, or business data, whether incurred directly or indirectly.

The Client agrees to indemnify and hold harmless Pacific Yew Automations and its officers from and against any third-party claims, liabilities, or losses arising from the Client's breach of CASL compliance, PIPA violations, or unauthorized use of third-party systems.
